Vincoder Software License

End User License Agreement · Last Updated: October 4, 2026

This End User License Agreement (“EULA”) is between you and Vincdata Technologies Inc., operating as VincData (“we”, “us”), and governs your use of the Vincoder desktop application and its IDE integrations (the “Software”). By installing or using the Software you agree to this EULA and our Terms of Service, and acknowledge our Privacy Policy.

1. License Grant

While you hold an active Vincoder subscription or trial, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for personal or commercial software development.

  • One subscription covers one person; each user on a team needs their own subscription
  • You may install the Software on more than one of your own machines
  • The Software is licensed, not sold — we retain all rights not expressly granted

The Software is not available to residents of Quebec. If you are a resident of Quebec, you may not install or use the Software.

2. What You May Not Do

  • Share, rent, sell, sublicense, or otherwise transfer your license or account
  • Reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this restriction
  • Circumvent license or subscription checks
  • Remove or alter proprietary notices
  • Use the Software to operate a competing service offered to third parties

3. Local Processing & Third-Party Models

Vincoder runs AI models locally on your machine. Your source code and prompts are processed on your device and are not sent to our servers. The Software contacts our servers to verify your subscription status, to check for and download updates, and, unless you turn it off, to send the usage counter described in our Privacy Policy (a random install identifier, a token count and the app version; never your code, prompts or files).

The Software ships with, or lets you download, open-source AI models (for example Qwen and Llama model families). Those models remain subject to their own licenses, which are included with the Software. This EULA does not restrict rights those licenses grant you.

4. Your Code & AI Output

  • Your source code remains yours. We claim no rights to it.
  • As between you and us, output the Software generates on your machine (code, tests, explanations) belongs to you, and you may use it commercially.
  • AI output can be wrong, insecure, or resemble existing code. You are responsible for reviewing, testing, and verifying all AI-generated output before relying on it — including its correctness, security, and compliance with third-party licenses.

5. Autonomous Execution

By default the Software executes routine commands on your computer without asking you to confirm each one, and it runs with administrator rights. In doing so it may create, modify or delete files, folders and settings on your systems. Because it is driven by an AI model, it can act on a mistaken understanding of your instructions or of your system.

  • You must keep current backups of anything you cannot afford to lose, and review the results of the Software's work.
  • You may switch on per-command approval at any time by starting the Software with the documented flag (vincoder.exe --ask), in which case it asks before every command.
  • The Software refuses a fixed list of destructive commands and always asks before the most dangerous ones, and it keeps copies of files it edits so they can be restored (/undo) — but not of everything it does. These safeguards do not replace your backups or your review.

You accept these risks. To the extent permitted by applicable law, you are responsible for the consequences of running the Software on your systems, including any loss of or damage to data, files, settings or other software. Nothing in this section excludes or limits rights you have under the Consumer Protection Act (Alberta) or other applicable consumer protection law that cannot be excluded by agreement.

6. Subscription, Updates & Availability

  • Use of the Software requires an active subscription or trial (see our Refund Policy for billing terms)
  • We may release updates, fix bugs, and add, change, or retire features; a change that substantially reduces what the Software does follows Section 11 of our Terms of Service. By default, updates are fetched from Vincdata's download service, verified against Vincdata's signature, and installed automatically when the Software starts; you can turn this off in the app's settings. Some updates may be required for the Software to keep working
  • We may discontinue the Software. If we do, we will email subscribers at least 30 days before, unless we must stop sooner for a reason listed under "Urgent changes" in Section 11 of our Terms of Service, in which case we will tell you as soon as we reasonably can. We will not charge you for any period after discontinuation, and we will refund the unused part of any period you have already paid for, worked out as described in that Section
  • We may change this EULA only as described in Section 11 of our Terms of Service

7. No Warranty; Liability

The warranty disclaimers and limitation of liability in our Terms of Service apply to the Software and its output. Nothing in this EULA limits non-waivable rights under applicable consumer protection law.

8. Termination

This license ends when your subscription ends, when your Vincdata account is closed, or if you materially breach this EULA. On termination, stop using the Software and uninstall it. Sections 2, 4, 5, 7, 9, and 10 survive termination (Section 5 survives only where it applied).

9. Governing Law

This EULA is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles, subject to any mandatory consumer protections of your place of residence. You agree to the exclusive jurisdiction of the courts of Alberta.

10. VincBuddy

This EULA also governs the VincBuddy desktop application, with these differences:

  • Grant. VincBuddy's first public release is a free beta. While VincBuddy is offered without charge, the license in section 1 is granted to anyone holding a Vincdata account, without a subscription. If a paid plan is introduced later, section 6 applies from that date.
  • Local processing. VincBuddy runs its AI model on your computer and reads your mail, files and project folders there. Section 3 applies; the Privacy Policy's VincBuddy section lists what leaves your computer (your sign-in, an optional six-field heartbeat, and downloads).
  • Third-party model. At first run the Software downloads the Qwen3.5-4B model (Apache License 2.0, Alibaba Cloud; quantised by Unsloth) and the llama.cpp server (MIT License). Their notices are installed beside the Software as THIRD-PARTY-NOTICES.md and LICENSE-APACHE-2.0.txt and are reachable from Settings → About. This EULA does not restrict the rights those licenses grant you.
  • Changes to your computer. Any change the Software makes to your files or runs on your computer happens only after you press Do it on a proposal that shows exactly what will run, under your own Windows account. Section 5 (Autonomous execution) does not apply to VincBuddy; section 7 applies to the outcome of changes you approve.
  • Updates. New versions are fetched from Vincdata's download service, verified against a manifest signed by Vincdata, and installed the next time the Software starts unless you install them first; by installing and signing in you expressly consent to this. Versions numbered 0.x are pre-release and may be unsigned.
